4.3 Local Government rates and taxes shall not be:
4.2.3 based on value of land used for the mine, mining infrastructure or installations
provided that the aggregate of such local Government rates and taxes charged shall not exceed US $ 200,000 in any calendar year.
5.1 So long as this agreement subsists, the company is and shall remain entitled:
5.1.1 subject to approval of the Bank of Tanzania as provided in artical 5.2 below, to retain abroad the proceeds of sale of minerals to which the Company is entitled and, so long as the Company is able to discharge, as they arise, its obligations to make payments in Tanzania, to dispose of those proceeds as it sees fit:
5.1.2 to enter into a loan agreement outside Tanzania for the purpose of financing mining operations and, subject to approval of the Bank of Tanzania, as provided in Article 5.2 below, to retain the proceeds derived from the disbursement of such loans;
5.1.3 To open and maintain bank account in Tanzania, denominated in Tanzania currency and freely dispose of the sums deposited therein without any restriction where the said accounts are credited only with amounts which are related to or derived from mining operations;
5.1.4 to open and maintainbank accounts in Tanzania, denominated in foreign currency, where such accounts are credited only with funds related to or derived from mining operations;
5.1.5 With the approval of the Bank of Tanzania, as provided in Artical 5.2 below, to open and maintain bank accounts in any foreign currency outside Tanzania which may be credited without restrictions and to freely depose of any sums deposited therein without restrictions and to freely depose of any sums deposited therein without restriction and without any obligation to convert into Tanzanian currency or return to Tanzania any part of the said amounts, provided that the company may be required to supply to the Bank of Tanzania at mutually agreed intervals such information on transactions in the said bank accounts which relate to mining operations as the Bank may resonably require for purposes of management of the balance of payments, foreign exchange reserves or monetary policy;
5.1.6 To purchase and sell Tanzania currency, through authorized dealers (if so required by law), without discrimination at the market rate of exchange for such transactions or at the official rate of exchange, if such rates are, from time to time, duly determined under applicable legislation;
5.1.7 To grant any charge, loan assignment, pledge, debenture, or mortgage; and
5.1.8 to export any minerals or associated products derived or extracted from the Contract Area and to sell such minerals and associated products to foreign purchasers.
2. Within thirty (30) days from the effective date, the Government shall cause the Governor of the Bank of Tanzania to deliver to the company a letter giving the necessary approval required under this artical 5 in terms of the Foreign Exchange law. Failure to give such approval shall not affect or deter the company from exercising any of its rights or enjoying any of the benefits provided herein.
5.3 the Government and the Ministers shall take all actions and authorize or approve any action, manner or thing to ensure the company retains the right and benefits granted under articles 4 and 5. all notices required to be published to give effect to the rights and benefits granted under this agreement shall be published and lack of publication shall not prevent the company from enjoying any benefits contemplated by this agreement.
