| 9. | 品质、数量与重量的异议与索赔 Quality / Quantity / Weight Discrepancy and Claim: | 货到最终目的地后，买方如发现货物品质、数量、重量和/或其它产品规格与本合同约定不符，凡属品质（包括除数量、重量外的其他产品规格）异议，买方须于货到目的港之日起60个自然日内，凭买卖双方同意的检验机构出具的检验证明向卖方提出异议（卖方不得无合理理由而拒绝买方所选择的检验机构）；凡属数量/重量异议，买方须于货到目的港之日起30个自然日内向卖方提出。尽管有以上规定，对于货物与合同不符的责任应属于保险公司、轮船、运输公司责任的，则应由买方自行向保险公司、运输公司索赔，卖方不负任何责任。 After the products arrive at the destination, Buyer may discover that the quality, quantity, weight and/or other product specifications do not conform to this Order. For any issue related to products quality (including product specifications other than the quantity or weight), the Buyer must lodge a claim to the Seller within 60 calendar days after the products arrive at the destination port, together with the product inspection certification issued by the inspection institute agreed by both the Buyer and the Seller. The Seller shall not withhold its consent to the Buyers choice of the inspection institute without reasonable grounds. For any issue related to the products quantity/weight, the Buyer must file a claim to the Seller within 30 calendar days after the products arrive at the destination port. Notwithstanding the foregoing provisions, if any non-conformity of the products with this Order is due to the responsibility of the insurance company or shipping or transportation company, the Buyer shall file a claim to the insurance company, shipping or transportation company, and the Seller shall not bear such liability. |
| 10. | 不可抗力条款 Force Majeure: | 当一方因洪水、火灾、地震、雪灾、旱灾、冰雹、飓风、战争、罢工、暴乱或其他该方无法控制并在签订本合同时不能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分本合同的义务，则该合同一方当事人应免责。但是，因不可抗力而影响其履约的合同一方应尽快通知另一方不可抗力事件的发生，并应在事件发生后不迟于30个自然日向另一方及阿里巴巴发送由有关政府主管机构或某一中立且独立的第三方权威机构出具的关于发生不可抗力事件的证明或文件。如果不可抗力事件持续超过60个自然日，合同双方可协商本合同的履行或终止。如果不可抗力事件持续超过90个自然日且双方不能达成协议，则任何一方有权终止合同。如果合同如此终止，则任一方应自行承担各自的费用。 Neither of the Buyer and the Seller shall be responsible for failure or delay in performing part or all of its obligations under this Order due to any event which is beyond control, unforeseeable at the time of execution of this Order, or cannot be avoided or overcome by the affected party, such as flood, fire, earthquake, snow disaster, drought, hailstone, hurricane, war, strike, and riot. The party being affected by such event of force majeure shall notify the other party of the occurrence of the force majeure event as soon as possible and, within 30 calendar days from the occurrence of the force majeure event, shall provide the other party and Alibaba.com with the certification or other document confirming the force majeure event and issued by the competent government authority or a neutral and independent third party which is a reputable authoritative organization. If the force majeure event lasts for more than 60 calendar days, both parties may negotiate with regard to the performance or termination of this Order. If the force majeure event lasts for more than 90 calendar days and both parties are unable to reach an agreement, then either party shall have the right to terminate this Order. If this Order is terminated under this clause, each party shall bear its own costs and expenses. |
| 11. | 终止 Termination: | 除非本合同、交易服务协议或采购交易规则作出明确规定，买卖双方任何一方不得单方面终止或取消本合同。根据交易服务协议及采购交易规则的规定，在某些情况下，阿里巴巴有权取消本合同。如果阿里巴巴根据交易服务协议或采购交易规则的规定取消本合同的，本合同立即终止，阿里巴巴不对取消本合同向买卖双方任何一方承担责任。 Unless this Order, the Transaction Services Agreement and the Sourcing Transactions Rules expressly provide otherwise, neither of the Buyer and Seller may unilaterally cancel this Order. According to the Transaction Services Agreement and the Sourcing Transactions Rules, Alibaba.com will have the right to cancel this Order under certain circumstances. If Alibaba.com cancels this Order according to the Transaction Services Agreement or the Sourcing Transactions Rules,, this Order is terminated immediately, and Alibaba.com shall not be liable to either the Buyer or the Seller for such cancellation. |
| 12. | 责任限制 Limitation of Liability: | 在法律许可的最大范围内，任何一方均不对本合同有关的任何间接的、后果性的、特殊的或附带性损失（包括但不限于利润或收入减少、业务中断、商务资料遗失、数据遗失等的损失）向另一方承担责任，即使已知悉发生该损害的可能性或可能发生该等损害是可以合理预见的。在法律许可的最大范围内，在任何情况下一方在本合同下累计承担的全部责任不超过本合同的货款金额。 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, CONSEQUENT, SPECIAL OR INCIDENTAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS OR REVENUE, INTERRUPTION OF BUSINESS, LOSS OF BUSINESS INFORMATION OR DATA, ETC) ARISING IN CONNECTION WITH THIS ORDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR EVEN IF THE POSSIBILITY OF SUCH DAMAGES IS FORESEEABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EITHER PARTYS AGGREGATE LIABILITY UNDER THIS ORDER SHALL NOT EXCEED THE TOTAL CONTRACT AMOUNT OF THIS ORDER. |
| 13. | 阿里巴巴免责声明 Alibaba.com Disclaimer: | 买卖双方同意及确认，本合同由买卖双方订立，阿里巴巴及支付宝不代表买方或卖方。阿里巴巴及支付宝不对货物的合法性、品质、数量、重量及其它产品规格等是否符合本合同规定承担任何责任。买卖双方任何一方违反本合同的约定，阿里巴巴和／或支付宝不对另一方承担任何责任。 BOTH THE BUYER AND THE SELLER ACCEPT AND ACKNOWLEDGE THAT THIS ORDER IS MADE BY AND BETWEEN THE BUYER AND THE SELLER ONLY. ALIBABA.COM AND ALIPAY DO NOT REPRESENT EITHER THE BUYER OR THE SELLER. ALIBABA.COM AND ALIPAY SHALL NOT BE RESPONSIBLE REGARDLESS WHETHER OR NOT THE LAWFULNESS, QUALITY, QUANTITY, WEIGHT OR OTHER PRODUCT SPECIFICATIONS OF THE PRODUCTS CONFORM TO THIS ORDER. ALIBABA.COM AND/OR ALIPAY SHALL NOT BE LIABLE TO EITHER OF THE BUYER AND THE SELLER IF THE OTHER PARTY IS IN BREACH OF CONTRACT. 买卖双方确认其已了解及知悉，生产、销售或购买本合同项下的货物有侵犯第三方权利的风险，包括但不限于知识产权。该侵权风险可能因第三方主张权利而导致诉讼、并给买方及/或卖方造成损失。买卖双方应确保其已取得(或确认对方已取得 与本合同项下货物合法权利相关的第三方授权及许可。阿里巴巴及支付宝不对因上述风险导致或相关的任何损失、诉求、责任或费用承担任何责任。 Both the Buyer and the Seller are made aware that there may be risks that the manufacture, distribution, purchase and sale of products under this Order may violate any third party rights, including but not limited to the intellectual property rights, and the risk that may incur costs of defenses or other costs in connection with third parties' assertion of the third party rights. It is the Buyer or the Seller's sole responsibility to obtain, or to ensure the other party to obtain, all necessary third party licenses and permissions regarding the legitimate right and authorization of the products under this Order. Alibaba.com and/or Alipay shall not be liable or responsible for any damages, claims, liabilities or costs of any kind that may arise as a result of or in connection with such risks. |
| 14. | 适用法律 Governing Law: | 买卖双方同意，本合同的释义、执行、争议等均受香港特别行政区法律管辖，且无需适用法律管辖冲突法律或原则。 Both the Buyer and the Seller agree that the interpretation, enforcement and disputes about this Order shall be governed by the laws of the Hong Kong Special Administrative Region without regard to conflicts of law provisions or principles. |
| 15. | 争议条款 Disputes: | 凡因执行本合同所发生的或与本合同有关的一切争议或索赔（ "争议"），应由双方通过友好协商予以解决；如果协商不能解决，应先提交阿里巴巴做裁定。如果任何一方对于阿里巴巴的裁定不满，必须在阿里巴巴作出裁定后20个自然日内向香港国际仲裁中心提交仲裁并通知阿里巴巴。如买方卖方均未在上述20个自然日期限提交仲裁，买方卖方均视为已同意阿里巴巴的裁定并受阿里巴巴的裁定的约束，同意阿里巴巴及支付宝可按该裁定处置所保管的合同款，并且，买方卖方均视为已放弃对阿里巴巴和/或支付宝提出任何索偿。 Any dispute or claim arising from enforcement of this Order or in connection with this Order ("Dispute") shall be resolved by the parties through amicable negotiations. If the parties fail to resolve any Dispute through amicable negotiation, the parties shall first of all submit the Dispute to Alibaba.com for determination. In the event that either the Buyer or the Seller is dissatisfied with Alibaba.com's determination, such party must apply to the Hong Kong International Arbitration Centre for arbitration and notify Alibaba.com of such application within 20 calendar days after Alibaba.com's determination. If neither of the Buyer and Seller applies for arbitration within the above 20 calendar days, each of the Buyer and the Seller shall be deemed to have agreed to and be bound by Alibaba.com's determination, and to have agreed that Alibaba.com and Alipay may dispose the order amount in escrow according to such determination. If any party has any changes of the addresses, the party shall notify the other party of the change within 5 calendar days after the change. If the notice is delivered by fax or email, the notice will be deemed to be served on the receiving party on the date of completion of the sending; if the notice is delivered by courier, the notice will be deemed to be served on the receiving party upon receipt. | 9. | 品质、数量与重量的异议与索赔 Quality / Quantity / Weight Discrepancy and Claim: | 货到最终目的地后，买方如发现货物品质、数量、重量和/或其它产品规格与本合同约定不符，凡属品质（包括除数量、重量外的其他产品规格）异议，买方须于货到目的港之日起60个自然日内，凭买卖双方同意的检验机构出具的检验证明向卖方提出异议（卖方不得无合理理由而拒绝买方所选择的检验机构）；凡属数量/重量异议，买方须于货到目的港之日起30个自然日内向卖方提出。尽管有以上规定，对于货物与合同不符的责任应属于保险公司、轮船、运输公司责任的，则应由买方自行向保险公司、运输公司索赔，卖方不负任何责任。 After the products arrive at the destination, Buyer may discover that the quality, quantity, weight and/or other product specifications do not conform to this Order. For any issue related to products quality (including product specifications other than the quantity or weight), the Buyer must lodge a claim to the Seller within 60 calendar days after the products arrive at the destination port, together with the product inspection certification issued by the inspection institute agreed by both the Buyer and the Seller. The Seller shall not withhold its consent to the Buyers choice of the inspection institute without reasonable grounds. For any issue related to the products quantity/weight, the Buyer must file a claim to the Seller within 30 calendar days after the products arrive at the destination port. Notwithstanding the foregoing provisions, if any non-conformity of the products with this Order is due to the responsibility of the insurance company or shipping or transportation company, the Buyer shall file a claim to the insurance company, shipping or transportation company, and the Seller shall not bear such liability. |
| 10. | 不可抗力条款 Force Majeure: | 当一方因洪水、火灾、地震、雪灾、旱灾、冰雹、飓风、战争、罢工、暴乱或其他该方无法控制并在签订本合同时不能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分本合同的义务，则该合同一方当事人应免责。但是，因不可抗力而影响其履约的合同一方应尽快通知另一方不可抗力事件的发生，并应在事件发生后不迟于30个自然日向另一方及阿里巴巴发送由有关政府主管机构或某一中立且独立的第三方权威机构出具的关于发生不可抗力事件的证明或文件。如果不可抗力事件持续超过60个自然日，合同双方可协商本合同的履行或终止。如果不可抗力事件持续超过90个自然日且双方不能达成协议，则任何一方有权终止合同。如果合同如此终止，则任一方应自行承担各自的费用。 Neither of the Buyer and the Seller shall be responsible for failure or delay in performing part or all of its obligations under this Order due to any event which is beyond control, unforeseeable at the time of execution of this Order, or cannot be avoided or overcome by the affected party, such as flood, fire, earthquake, snow disaster, drought, hailstone, hurricane, war, strike, and riot. The party being affected by such event of force majeure shall notify the other party of the occurrence of the force majeure event as soon as possible and, within 30 calendar days from the occurrence of the force majeure event, shall provide the other party and Alibaba.com with the certification or other document confirming the force majeure event and issued by the competent government authority or a neutral and independent third party which is a reputable authoritative organization. If the force majeure event lasts for more than 60 calendar days, both parties may negotiate with regard to the performance or termination of this Order. If the force majeure event lasts for more than 90 calendar days and both parties are unable to reach an agreement, then either party shall have the right to terminate this Order. If this Order is terminated under this clause, each party shall bear its own costs and expenses. |
| 11. | 终止 Termination: | 除非本合同、交易服务协议或采购交易规则作出明确规定，买卖双方任何一方不得单方面终止或取消本合同。根据交易服务协议及采购交易规则的规定，在某些情况下，阿里巴巴有权取消本合同。如果阿里巴巴根据交易服务协议或采购交易规则的规定取消本合同的，本合同立即终止，阿里巴巴不对取消本合同向买卖双方任何一方承担责任。 Unless this Order, the Transaction Services Agreement and the Sourcing Transactions Rules expressly provide otherwise, neither of the Buyer and Seller may unilaterally cancel this Order. According to the Transaction Services Agreement and the Sourcing Transactions Rules, Alibaba.com will have the right to cancel this Order under certain circumstances. If Alibaba.com cancels this Order according to the Transaction Services Agreement or the Sourcing Transactions Rules,, this Order is terminated immediately, and Alibaba.com shall not be liable to either the Buyer or the Seller for such cancellation. |
| 12. | 责任限制 Limitation of Liability: | 在法律许可的最大范围内，任何一方均不对本合同有关的任何间接的、后果性的、特殊的或附带性损失（包括但不限于利润或收入减少、业务中断、商务资料遗失、数据遗失等的损失）向另一方承担责任，即使已知悉发生该损害的可能性或可能发生该等损害是可以合理预见的。在法律许可的最大范围内，在任何情况下一方在本合同下累计承担的全部责任不超过本合同的货款金额。 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, CONSEQUENT, SPECIAL OR INCIDENTAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS OR REVENUE, INTERRUPTION OF BUSINESS, LOSS OF BUSINESS INFORMATION OR DATA, ETC) ARISING IN CONNECTION WITH THIS ORDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR EVEN IF THE POSSIBILITY OF SUCH DAMAGES IS FORESEEABLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EITHER PARTYS AGGREGATE LIABILITY UNDER THIS ORDER SHALL NOT EXCEED THE TOTAL CONTRACT AMOUNT OF THIS ORDER. |
| 13. | 阿里巴巴免责声明 Alibaba.com Disclaimer: | 买卖双方同意及确认，本合同由买卖双方订立，阿里巴巴及支付宝不代表买方或卖方。阿里巴巴及支付宝不对货物的合法性、品质、数量、重量及其它产品规格等是否符合本合同规定承担任何责任。买卖双方任何一方违反本合同的约定，阿里巴巴和／或支付宝不对另一方承担任何责任。 BOTH THE BUYER AND THE SELLER ACCEPT AND ACKNOWLEDGE THAT THIS ORDER IS MADE BY AND BETWEEN THE BUYER AND THE SELLER ONLY. ALIBABA.COM AND ALIPAY DO NOT REPRESENT EITHER THE BUYER OR THE SELLER. ALIBABA.COM AND ALIPAY SHALL NOT BE RESPONSIBLE REGARDLESS WHETHER OR NOT THE LAWFULNESS, QUALITY, QUANTITY, WEIGHT OR OTHER PRODUCT SPECIFICATIONS OF THE PRODUCTS CONFORM TO THIS ORDER. It is the Buyer or the Seller's sole responsibility to obtain, or to ensure the other party to obtain, all necessary third party licenses and permissions regarding the legitimate right and authorization of the products under this Order. | 14. | 适用法律 Governing Law: | 买卖双方同意，本合同的释义、执行、争议等均受香港特别行政区法律管辖，且无需适用法律管辖冲突法律或原则。 Both the Buyer and the Seller agree that the interpretation, enforcement and disputes about this Order shall be governed by the laws of the Hong Kong Special Administrative Region without regard to conflicts of law provisions or principles. |
| 15. | 争议条款 Disputes: | 凡因执行本合同所发生的或与本合同有关的一切争议或索赔（ "争议"），应由双方通过友好协商予以解决；如果协商不能解决，应先提交阿里巴巴做裁定。如果任何一方对于阿里巴巴的裁定不满，必须在阿里巴巴作出裁定后20个自然日内向香港国际仲裁中心提交仲裁并通知阿里巴巴。如买方卖方均未在上述20个自然日期限提交仲裁，买方卖方均视为已同意阿里巴巴的裁定并受阿里巴巴的裁定的约束，同意阿里巴巴及支付宝可按该裁定处置所保管的合同款，并且，买方卖方均视为已放弃对阿里巴巴和/或支付宝提出任何索偿。 Any dispute or claim arising from enforcement of this Order or in connection with this Order ("Dispute") shall be resolved by the parties through amicable negotiations. If the parties fail to resolve any Dispute through amicable negotiation, the parties shall first of all submit the Dispute to Alibaba.com for determination. In the event that either the Buyer or the Seller is dissatisfied with Alibaba.com's determination, such party must apply to the Hong Kong International Arbitration Centre for arbitration and notify Alibaba.com of such application within 20 calendar days after Alibaba.com's determination. If neither of the Buyer and Seller applies for arbitration within the above 20 calendar days, each of the Buyer and the Seller shall be deemed to have agreed to and be bound by Alibaba.com's determination, and to have agreed that Alibaba.com and Alipay may dispose the order amount in escrow according to such determination. Further, each of the Buyer and Seller shall be deemed to have waived any claim against Alibaba.com and /or Alipay. 双方同意，关于本合同的争议解决应适用交易服务协议第10条的规定。 Buyer and Seller agree that the resolution of the Disputes in connection with this Order shall be subject to and adopt the provisions of clause 10 of the Transaction Services Agreement. |
| 16. | 通知 Notice: | 所有通知用英文写成，并按照本合同如上地址用传真/电子邮件/快件送达给各方。如果任何一方地址有变更，该方应在变更后5个自然日内书面通知另一方。如以传真或电子邮件发送，于通知发送完成之日视为收件方已收到文件，如以快件方式发送，于收件方收到之日视为通知已发送。采购交易规则规定，某些通知须以电子邮件方式发送，应遵照采购交易规则的规定。 All notices must be written in English and be served to the other party by fax/e-mail /courier according to the addresses set forth above. If any party has any changes of the addresses, the party shall notify the other party of the change within 5 calendar days after the change. If the notice is delivered by fax or email, the notice will be deemed to be served on the receiving party on the date of completion of the sending; if the notice is delivered by courier, the notice will be deemed to be served on the receiving party upon receipt. Where the Sourcing Transactions Rules provide that certain notices must be served by email, the requirements of the Sourcing Transactions Rules shall apply. |
| 17. | 合同期限 Order Period: | 本合同于卖家点击确认订单按钮以电子方式确认买家订单时生效。 This Order comes into force upon acceptance of the Buyers order by the Seller clicking the Confirm order button. |
| 18. | 电子签名合同 Electronic Order: | 本合同构成卖方与买方之间的电子签名合同。本合同具有与书面签署的合同同等的效力。 This Order constitutes an electronic order between the Seller and the Buyer. This Order shall have the same binding effect as a order executed in handwriting. |
| 19. | 进出口代理 Export and Import Agent: | 如果卖方根据中国法律没有对外贸易经营权，卖方应委托有合法对外贸易经营权的进出口公司代理出口事宜。卖方与其进出口代理之间的权利和义务由该两方另行签订合同约定；卖方有责任确保其进出口代理履行代理职责，如果本合同下的权利义务必须由或已委托进出口代理履行的，卖方为进出口代理的不履约或违约行为向买方承担全部责任。 If the Seller does not have the foreign trade authority according to China law, the Seller must entrust an export and import company with the legitimate foreign trade authority (Export Agent) to handle the relevant export and import matters on behalf of the Seller. The Seller and its Export Agent will enter into a separate order for rights and obligations between themselves. The Seller shall be responsible that its Export Agent will duly perform as the Sellers agent. If any of the Sellers rights and obligations under this Agreement shall be or have been carried out by the Export Agent, the Seller shall be fully liable to the Buyer for the non-performance or default by the Export Agent. |
| 20. | 其他规定 Other Provisions: | 任何一方不得向任何人或实体全部或部分转让本合同。对合同的变更须以书面做出并经阿里巴巴书面确认方生效。本合同的语言以英文为准，如果中文文本和英文文本有冲突，以英文文本为准。 Neither party may assign this Order, in whole or in part, to any person or entity. Any changes to this Order must be made in writing and confirmed by Alibaba.com in writing. The prevailing language of this Order shall be English. In case of any conflict between the Chinese language version and the English language version, the English language version shall prevail. |
