Zitto Kabwe: Whose Interest are You Serving in Tussle between Tanzania government - Acacia Plc in Barrick Takeover?

I HAVE been following up the tussle between the Government of Tanzania and Acacia Plc ever since it began more than two years ago and I am fascinated by the emerging African patriotism Tanzanians now have.

I am proud, whenever an African country takes the big boys by the horns to wrench a fair deal from the onerous arrangements, which the foreign multinationals managed to extract from our governments, whether coercively, deceitfully or corruptly.

Undeniably, in this effort, Tanzania is admirably the leading light to other African countries. Kudos Tanzania in this move!.
Recently I have been reading communications from one Mr Zitto Kabwe, who is a Tanzanian Member of Parliament (MP).

I am informed that he is a vocal opposition MP who devotes his time, among other areas mostly in the mining sector reforms, but what I see is that his campaign is to derail efforts being initiated by Barrick to takeover Acacia Plc, which meet the pre-conditions set by the Tanzania government.

As a keen follower of the developments in Tanzania, I have come to understand that conclusion of the negotiations came to a standstill, after the Government of Tanzania demanded that unless Barrick Gold Corporation (BGC) manages to takeover and delist Acacia Plc, there would be no agreement concluded.

Here the government made us very proud. The clear message is that Acacia be dismantled to pave way for a new company jointly owned by Barrick Gold Company (BGC) and the Government of Tanzania and this is surely laudable.
The structuring of the envisaged set up seems to be that BGC will jointly, with the Government, own and manage the gold mining companies, which were previously under the management of Acacia Plc.

It means that, if there would be any special treatment or incentives, they would be granted to the jointly owned company. The joint venture company needs to be assured of a takeoff that is free of disabling compliances and this makes it clear in business sense.

What is important is to see the kind of safeguards the government will have in place and all of us are keen and want to see the agreements and the terms.

It is interesting that Honourable Zitto is launching a scathing attack with conclusions that his government has already concluded the agree-ments with BGC.

In arrangements of this kind, there must be several agreements and all these need to be seen in order to understand how the government has progressed.

It is interesting to note that Honourable Zitto is attacking tax incentives purportedly granted to BGC and my understanding is that tax incentives can only be granted under Government Notice(s) and these cannot be made without having any agreements in place, for his information now.

If the government has clearly expressed the position, there must be a Joint Venture Company (JVC) established to manage the gold mining assets, who then should be the guarantor of the incentives or waivers? Is it BGC or the joint venture company (JVC)?

For example, how can BGC be a guarantor of waiver from listing? He should know that BGC is not registered in Tanzania and it is only the JVC that can be granted such a waiver, if at all.

What is intriguing me is not what Honourable Zitto is saying, but the timing of his attack(s). Negotiations are discreet and employ many tools.

While on the one hand, the negotiations between the BGC and the government of Tanzania have stalled in order to give room for the former to comply with the latter requirement, on the other hand, BGC is facing hard negotiations with Acacia Plc and the minority shareholders.

The negotiations have reached a very delicate point, which may unhinge if things are not understood in their correct context. One important issue is the acceptability of the new arrangement by the ordinary Tanzanians.

This is critical if the minority shareholders are to accept the exchange of their shares for BGC’s shares in the envisaged share buy-out arrangement.

Is Honourable Zitto praying for the disruption and closure of the Acacia takeover by sending fears that at all is not well and the troubles of Acacia will befall the new arrangement?

He is deliberately reading things out of their correct contexts. The question is why? Is it true that Honourable Zitto does not know that no agreement has been signed yet?

Is it true that Honourable Zitto is not aware of the delicate issues that hung upon the Barrick – Acacia negotiations? Why is it that Honourable Zitto, an MP can not countercheck his facts with the authorities?

As a keen follower of what is unfolding, I am aware that the Government Negotiation Team has not yet submitted its proposals to the State for consideration and decision.

Would Honourable Zitto have not been made aware of this fact, if he had asked? Apparently this is an open secret after the government had made it clear through the official spokesperson that come rain come sun, there would be no deal if Acacia is in any manner whatsoever involved. Is Honourable Zitto not aware that Acacia Plc is not yet delisted and thus no deal is possible with the government?

My position and question to Honourable Zitto is that, if your aim is to derail the finalization of the Acacia takeover by BGC, whose interests are you serving?

Attacking Zitto is an an attack to all Tanzanians who are tired of the status quo.

The status quo must be questioned by any citizen of Tanzania including Zitto Kabwe.

Me, a Tanzanian, also questions this "dongo la mchanga" it is my constitution and civic right.

Now, instead of scoring cheap political headlines, I suggest you ask an ordinary Tanzanian with knowledge about this agreement and see.

A Tanzanian laymen do not need an interpret of plain english from the agreement.

I do not remember if I have changed my position... on this matter, i.e I have in the past, vehemently oppose any negotiation with ACCACIA. My stand is Pack and Go. ACCACIA, BARRIC,SHANTA and whatever fancy name thee may have.

Tanzania can do this and MUST.
We shall hire 10,000 individuals Tanzanians who is ready for hard work and big rewards with a three months contract for each, then you BARRIC and the forementioned can come and buy from us...We asaure you best quality gold like the one from "Singida"

Takwimu kutoka Taarifa ya Hali ya Uchumi wa Taifa 2018 iliyotolewa na Wizara ya Fedha mwezi Juni 2019 zinaonyesha
  • mwaka 2016 Tanzania iliuza nje dhahabu iliyoingiza USD 1.8 bilioni
  • Mwaka wa Makanikia 2017 mauzo nje yalishuka mpaka USD 1.6 bilioni na;
  • Mwaka 2018, mwaka ambao athari ya Makanikia ilikuwa mwaka mzima mauzo nje yalikuwa USD 1.4 bilioni

Kati ya mwaka 2017-2018 Mauzo nje ya dhahabu yalishuka kwa jumla ya $200M sawa na 11%.

Katika kipindi hicho uzalishaji wa dhahabu ulishuka kutoka tani 43 za dhahabu mwaka 2015 mpaka tani 39 mwaka 2018. Uzalishaji wa mwaka 2018 ulikuwa sawa na uzalishaji wa mwaka 2010.

Mapato ya Serikali kutoka sekta ya Madini yameshuka katika kipindi cha Makanikia. Kwa mujibu wa Kitabu cha Mapato ya Serikali kwa Wabunge ( Revenues Book Vol. 1 ).

  • mwaka 2016/17 makusanyo ya mirahaba yalikuwa TZS 341 bilioni
  • Mwaka 2017/18 makusanyo ya mirahaba yalikuwa TZS 230 bilioni
  • Mwaka 2018/19 makusanyo yalikuwa TZS 220 bilioni.
Serikali imekadiria kukusanya TZS 350 bilioni mwaka 2019/2020.

Kwa mujibu wa Dkt. Genuine Martin kwenye mada yake kwa Policy Forum Breakfast Debate Julai, 2019 Mapato yote ya sekta ya Madini yameshuka kwa 32% katika zama za Makanikia.

  • mwaka 2016 Mapato yalikuwa TZS 1.3 trilioni
  • Mwaka 2018 Mapato yalikuwa TZS 867 bilioni.
Katika Miaka 2 Mapato ya Serikali kutoka sekta ya Madini yameshuka kwa TZS 430 bilioni.

Tunapata nini kutoka Barrick Gold baada ya sakata la Makanikia?

Mapato ambayo Serikali ya Magufuli imepoteza kwenye sekta ya Madini kati ya mwaka 2017 - 2019 ni makubwa zaidi ya malipo* ambayo Serikali inasema tutalipwa na Barrick Gold Corporation ili kumaliza mgogoro baina ya Kampuni ya Acacia na Serikali.

Tumeona hapo juu kuwa tumepoteza Mapato ya Fedha za kigeni $200M na Mapato ya Serikali kushuka kwa TZS 430 bilioni. Kutoka Barrick tunatarajiwa kupata $300M ambazo chache kulinganisha na kiasi tulichopeteza.

* Malipo yenyewe hayo ya $300M kwanza yatalipwa kwa miaka 7, pili yana masharti ya wao kulipwa kwanza Fedha zao za VAT ( $240M ), na tatu watasamehewa Kodi ya Capital Gains Tax ya mauzo ya hisa za Acacia kwa Barrick Gold ($85.6M). Hatimaye Tanzania ndio itakuwa imeilipa Barrick $25M ( Net of payments and receipts to and from Barrick Gold ).

Kwa hiyo Tanzania imepoteza Mapato iliyokuwa yakusanywe kama mgogoro usingekuwepo [ $200M exports revenues and $170M tax revenues ] na imeishia kuilipa Barrick badala ya yenyewe kulipwa.

Tumepata hasara kubwa sana kutokana na maamuzi yetu wenyewe, maamuzi ambayo hayakuzingatia maslahi ya nchi yetu. Tunapaswa kuwawajibisha waliotupa hasara hiyo.

Conditionality and closing deliverables
  1. Certain material conditions must be satisfied before most ofthe key provisions (such as the fiscal measures) of the Framework Agreement become effective. These conditions include:
    1. provisions relating to the legalisation of the Transaction Documents by the GoT and related closing deliverables to be provided by the GoT;
    2. customary conditions relating to the capacity, power and authority of the GoT parties to enter into the Transaction Documents and perform their obligations thereunder;
    3. key undertakings from the GoT in a form reasonably acceptable to the Acacia parties, confirming that as from the Closing Date:
      • subject to the GoT’s 16% free carried interest, the TMCs shall not at any time be required, including under the Tanzanian mining laws and regulations, including the New Laws and the Mining (Minimum Shareholding and Public Offering) Regulations 2016 (as amended), to make any public offer in Tanzania in respect of, or issue or transfer any shares or other securities or economic participation rights to any third party or person (including any member of the public) or to list their shares or other securities on any stock exchange in Tanzania;
      • the TMCs shall not at any time have any obligation to establish beneficiation (including gold refining or concentrate smelting) facilities in Tanzania; and
      • the implementation of the 50/50 Principle and the Local Content and CSR Plan shall always shall be deemed to satisfy any obligation borne by or of the TMCs or New OpCo to plough back profits in accordance with Tanzanian mining laws and regulations;
    4. the ban on the export of gold and copper concentrate from Tanzania announced by the Ministry of Energy & Minerals on 3 March 2017 (the “Export Ban”) being lifted in respect of the TMCs;
    5. there being no change in law between the date of signing of the Framework Agreement and the Closing Date that would, or would be likely to, result in either: (i) an alteration to the terms of any Transaction Document to the detriment of any Acacia party; or (ii) any erosion of the 50/50 Principle to the detriment of any Acacia party;
    6. the Acacia parties having received from the GoT certain closing deliverables, including:
      • each of the Transaction Documents, duly executed by the GoT;
      • letters seeking an order of termination of the relevant arbitration proceedings, duly executed by the GoT;
      • an opinion, addressed to and in a form reasonably satisfactory to the Acacia parties, from and duly signed by the Hon. Attorney General of the GoT covering matters such as the legalisation of the Transaction Documents and the capacity, power and authority of the GoT;
      • evidence, in a form reasonably satisfactory to the Acacia parties, that the 2018 tax year corporate income tax return and VAT return, all opening non-refunded VAT balances, opening carry forward loss balances and opening shareholder loan balances have been agreed or determined with the Tanzania Revenue Authority and any other relevant agency of GoT;
      • evidence, in a form reasonably satisfactory to the Acacia parties, that the GoT has procured a legal, valid, binding and enforceable waiver addressed to each of the TMCs in respect of (i) the requirement for each TMC to have a minimum local shareholding of 30% obtained through a public offer in Tanzania and to list their shares in Tanzania; and (ii) the right of the GoT to acquire shares over and above its 16% free carried interest shares in respect of the total tax expenditure incurred by the GoT for the benefit of the TMCs;
      • evidence, in a form reasonably satisfactory to the Acacia parties, of approval by the Tanzanian Mining Commission in accordance with Tanzanian law of the Local Content and CSR Plan of each TMC and approval not having lapsed or been revoked or withdrawn at any time before the Closing Date;
      • evidence, in a form reasonably satisfactory to the Acacia parties, that the Export Ban has been lifted with respect to the TMCs and that all authorisations, actions and steps necessary to ensure that the TMCs can export minerals (including concentrate and doré) consistent with the terms of the other Transaction Documents, have been given, obtained or taken by the GoT; and
      • confirmation, in a form reasonably satisfactory to the Acacia parties, of the release of all minerals (including concentrate) belonging to Bulyanhulu Gold Mine Limited and Pangea Minerals Limited which the GoT has currently seized;
    7. the Acacia parties having received from the TanzaniaRevenue Authority (or the GoT on behalf of the Tanzania Revenue Authority) duly executed deliverables required to fully settle all taxation proceedings (and any other documents needed to settle the disputes (including letters seeking an order of termination of the proceedings between the GoT parties and the Acacia parties, including tax proceedings and the arbitration proceedings));
    8. the GoT having received from the Acacia parties certain closing deliverables, including:
      • each of the Transaction Documents, duly executed by the Acacia parties;
      • certificates, notes and other documents evidencing the GoT’s 16% free carried interest in the capital and shareholder loans of each of the TMCs and New OpCo; and
      • letters seeking an order of termination of the relevant arbitration proceedings, duly executed by the relevant TMCs; and
    9. the Tanzania Revenue Authority (or the GoT on behalf of the Tanzania Revenue Authority) having received from the Acacia parties, on the Closing Date, duly executed deliverables required to fully settle all taxation proceedings (and any other documents needed to settle the disputes).
  2. The conditions set out in (a) to (g) of paragraph A10 above may be waived by the Acacia parties and the conditions set out in (h) to (i) of paragraph A10 above may be waived
