Bahati mbaya zaidi, kutokana na mfumo huu mbaya, kuna kila dalili ya mihimili yote ya dola kuungana kutetea uovu dhidi ya raia walio wengi. Mapambano yanahitajika kwa gharama yoyote ile, kisheria au nje ya mfumo wa sheria kwa kuzingatia maslahi ya walio wengi.

How Pan African Energy stashed Sh 110bn

Parliamentary sub-committee investigations have nailed Pan African Energy, a company working in developing gas resources, claiming that the company operated massive irregularities and fraud, which cost the nation about $64 million (Sh110 billion).


Pan African Energy Corporation Limited produces crude petroleum and natural gas, a Dar es Salaam branch of a multinational syndicate, acquired by Pan-Ocean Energy Corp. Ltd. in June 2003, and operating as its subsidiary.

However as we went to the press yesterday evening, there wasn't any side of the story from both Pan African Energy as well as the government. While the government promised to study all key issues raised by the Committee, before coming with concrete response in February, next year, Pan African energy executives were not available to give their side of the story.

The queried sums relate to accounting of its activities from 2004 to 2009, on the basis of a TPDC and parliamentary audit that was not presented to the National Audit Office for approval before being tabled in Parliament on Friday, this week.

The committee report described the gas exploration and mining contract sealed between Pan African Energy and the Tanzania Petroleum Development Corporation (TPDC) as dubious, urging for immediate termination of the suspicious contract.

It was on Friday evening when the sub- committee of the Parliamentary Standing Committee for Energy and Minerals tabled its report in the House on the findings of an investigation conducted to find out how the gas sub-sector is run in the country.

The findings are appalling and discouraging bearing in mind that Tanzania as a nation has suffered enormous losses from bad contracts that its officials have been signing with investors.

The sub-committee report tabled over the weekend by committee member Jumanne Selemani Zedi (CCM- Bukene) has established that the government through Tanzania Petroleum Development Corporation TPDC ) has suffered huge loses due to serious violation of the Production Sharing Agreement ( PSA) it signed with an investor-Pan African Energy Tanzania Limited ( PAT).

Under the agreement, Pan African Energy Tanzania Limited was allowed to deduct 75 per cent of monthly gas sales to recover gas exploration and production costs it incurred before again dividing the remaining 25 per cent of gas sales on the ratio of 70 per cent (PAT) and 30 per cent (TPDC).

The report tabled states that the auditing department of the Tanzania Petroleum Development Corporation (TPDC) audited PAT financial accounts in which it was revealed that the investor was involved in massive irregularities and fraud that amounted to $ 64 million ( Sh 110 billion) from 2004 to 2009.

According to the report, PAT was involved in fraud and forgery by deliberately inflating the production costs before recovering it from the gas sales. The report revealed that such cheating, from 2004 to 2009, caused the government to lose $ 20.1 million (Sh 35 billion) in dividends.

What is more shocking is that the investor-Pan African Energy Tanzania Limited (PAT) has been spending the gas proceeds in financing gas exploration activities in Uganda, Gabon and Nigeria where it won similar tenders.

Interestingly, the report says, when PAT officials were quizzed over the noted financial forgery they admitted of having mistakenly deducted the money (production costs). However, Zedi, the presenter of the report, told the Parliament that it seemed the cheating was deliberately carried out, considering the fact that such financial anomalies were repeatedly done (2004-2009).

PAT officials qualified their answer, saying of $ 64 million recovered by the investor as production costs from 2004 to 2009 $ 28.1 million was mistakenly deducted (honest mistake).
This prompted TPDC to order the firm to adduce documents to justify the remaining deductions amounting to $ 36 million by September 30 failure to which PAT would be required to pay the money with bank interest and on Time Value Money.

But, Zedi said, until the sub-committee finalized the compilation of the report last month PAT managed to issue documents for the deductions made amounting to $ 1,042,516 only of which $ 746,153 was claimed to have been correctly deducted while $ 296,363 was noted to have been wrongly included into the cost of the project.

The firm was also noted to have violated tax laws.

Monopoly in gas industry
Pan African Energy Tanzania Limited is accused of enjoying special monopoly in gas business in the country, shutting out would-be competitors in the industry.
According to the report, the monopoly status is blessed by some controversial provisions in the Production Sharing Agreement ( PSA) or is arrogantly created by the investor by violating certain sections.

For example, the agreement signed does not give room for making changes to gas demands in case the country requires more gas for power production. This was proved mid this year when PAT and Songas objected to the request floated by Ndovu Resources in which Ndovu asked the two firms to allow it connect its gas well to the Songas gas pipeline when some wells owned by the two firms were shut down due to corrosion.

This is why the government is planning to lay its gas pipeline from Mnazi Bay, Mtwara - Dar es Salaam via Somangafungu at the cost of $1.058 billion. The government would borrow the money from the Export-Import Bank of the People's Republic of China.

The 24 – 36 inch gas pipeline which would be connected to another new one from Songonsongo will have the capacity to transport a maximum of 700 standard cubic feet of gas per day. That amount of gas can generate more than 3000 mw of electricity
The report also states there are controversial provisions in PSA that deny TPDC the right to participate in gas development activities. The report further accused PAT of solely carrying out gas distribution activities to customers, contravening the provision in PSA that compels PAT to involve TPDC when conducting such activities.

In the same report, PAT is accused of single handedly holding talks on gas sales with gas customers, violating the market and sales agreement that wants TPDC to be involved in such talks.

Sub-committee's recommendations
Having noted the deliberate fraud and cheating discovered after TPDC's audit department audited PAT's financial accounts, the sub-committee came up with a lot of recommendations, including the following:

  • First, it proposed that a special investigation be conducted on PAT financial accounts, including arraigning in court all PAT workers for financial forgery and cheating.
  • Second, the sub -committee wants the Production Sharing Agreement between TPDC and PAT be suspended after the investor's integrity has been eroded.
  • Thirdly, the committee ordered the production costs recovery arrangement between the two parties suspended.
  • Fourth, the sub-committee ordered PAT to pay the dividend amounting to $20.1 million (about Sh 32 billion).
  • Fifth, the government has been ordered to enact special legislation governing gas business. Until now the industry is governed by the Petroleum Exploration and Production Act, 1980 aided by power sharing agreements (PSA), a factor that creates room for investors to accrue super profits that they don't deserve.
  • Sixth, the government has been ordered to invite competitors to explore, produce and distribute gas to customers to end the monopoly enjoyed by PAT and Songas.
As the MPs started debating the report a message believed to be from PAT officials was circulating among MPs, stating they were assured by President Jakaya Kiwete to stay in business despite the bad findings.
The sub-committee was formed during the budget session of Parliament on July 15th after the Parliamentary Standing Committee for Energy and Minerals smelt a rat in gas sector.
