    Wana JF, salamu zenu. Mie ni kijana nasoma chuo mwaka wa 3 sasa nategemea kumaliza 2013.
    Nimedhamiria kufungua kampuni mapema kabla ya mwezi wa 6 mwakani. Ninakamilisha uandish wa Memorandum of the "Company_Name company Limited,
    nimeamua kushirikiana na rafiki. Naomba mnisaidie mambo yafuatayo:

    1. Je initial capital ikiwa 10Mn au 100Mn au 500Mn ina risk zipi? Najua ni hela ambayo tunajiandikia tu yaani iliyopo haizidi 1.5Mn so pls nisaidieni hapo ili niandike initial capital of the company nikijua 10Mn ina faida zipi na hasara zipi na 500Mn ina faida zipi na hasara zipi?

    2. Sina elimu yoyote kuhusiana na shares za waanzilishi just nimeona mfano wa mtu fulani kaandika 500 shares na aliyeshiriki naye 500 kwenye hiyo memorandum yao. Wengne wameandika 400 kwa 400 na 200 wanasema watauza kwa atakayetaka hapo badae! So napata dukuduku hapa sielewi nifanyaje japo 2natakiwa kuwa na equal shares na jamaa. Pls nifungueni ktk hili kwa kunifundisha elimu ya shares.

    3. Mie niko mkoani lakini nataka head office ya kampun iwe Dar na branch huku ninakosoma. Vipi kuna ugumu wa hili?


    4. Najua kuna wataalamu wenye kampuni, wachumi, members from Brela n.k naomba mnisaidie niweze kuandaa memorandum safi na hatimaye kampuni linitoe ktk umaskini na tupunguze utegemezi wa kampuni za nje.
    Inshort, the company is focused on general purpose yaani IT services, importation and exportation of IT Based goods, agriculture, and so many coz mie mwanzilishi wataalamu ni wasomi wetu.

    NB: naomba mnisaidie kwa hoja za kunisaidia na kunikosoa ili mradi niweze kutekeleza hili kwa ufanisi.

    Nimekuelewa sana, nashukuru sana. So unanishauri bora niweke hata 1.5 Milion iliyopo kuliko kuweka 5 or 10 Million ambayo haipo. Nahc kama unauelewa mkubwa wa maswala haya unaweza kuweka minimum amount ambayo natakiwa nitafute ili ku start up bila matatizo ya hesabu za mwaka na benki?

    Kuhusu partiner nimependa sana explanations za good partner. I hope kwa maelezo hayo limebaki mikononi mwangu kulitekeleza!

    Sharez nimekuelewa sana mkuu. Ntajitahdi kuzingatia ushauri ili domination isije ikanikuta ama akamkuta atakayekuja after me.

    What about situating the company's headquarters in Dar and branching to another region is it easy? Simply because I am pursuing my studies out of Dsm and I have plans to reside in Dar.

    Let me tell you one thing!!! Its hard to start up But not imposible!! Keep that in mind and make sure you know exactly what you want to provide to the public!! how, when and who?? Watu wengi huzungumzia mikopo ya hali ya juu kuanza biashara , 50m , 100m and so on!! kama unatumia elimu yako huo ni mtaji wako!! off-course expenses can not be avoided when you establish your business but sort them out, kuna expenses zingine utakuwa nazo kwa sababu thats how people do but do you really need to have them?? You and your partner are to make a Business strategy, market analysis before jumping into it!! with the idea that you have!! i suggest go for a Niche. You can have a little peace of the existing market and do great!! Or you can do like everybody else do! the choice and decisions are made by owners!!
    You do need proffessional help but see what you can do for yourself then seek help for the rest!! and remember kuwa mjasirimali needs high confidence. at-least if you wanna be a serious one!!

    Frankly, I believe I knw exactly what to do with the business. Nataman sana mtu aniambie an example of a company iliyoanza na below 5 Milion na leo liko on top hapa nchini au duniani. Huwa naamini nikisubir kupata 50 Milion ki ukweli my Idea will cease. Nakushukuru sana kwa encouragement yako on this.

    - Brela wanacho taka ni makao makuu ya Kampuni so kama ni Dara kwenye form utaandika Dar hilo la Branchi wala haliwahusu Brela kabisa.
    - Na kawaida ukitaka kubadili makao makuu ya kampuni my be kutoka Dar kwenda mathalani Mwanza ni lazima uwataalifu Brela.

    weka hiyo 500 milioni hata kama una elfu moja. hiyo ni amount ambayo kampuni inatarajiwa kufikiwa katika maisha yake. hivyo unaporejesta inabidi ioneshwe kwenye memorandum.

    sheria- kila kampuni ni lazma inapoanzishwa itaje mtaji na amount of share na thamani yake mf. share 1000@10,000= 10,000,000

    lakini, nashauri mngeanzisha kampuni as UNREGISTERED COMPANY.......... baadae mkaiandikisha baada ya kusimama

    - Capital inayo kuwa ina be decread na muanzisha kampuni ni kapital ambayo kampuni inatarajia kufikia?
    - Hili swala la capital huwa si lakufanyia mzaha lina madhara makubwa sana, Kwa upande wakuhitaji mkopo benk, kutafuta partners na hata kwenye kodi TRA.
    Hiyo kampuni UNREGSTERD ndo kampuni ya aina gani hiyo mkuu?

Vinginevyo ukijizatiti kwa kuanzisha kampuni unaweza kupoteza capital yako na ukajutia kuanzisha. Makampuni mengi yenye mafanikio yameanzishwa kuwa kutegemezwa na miradi midogo ambayo inasaidia kuimarisha mradi mkubwa katika kipindi cha uanzishwaji. Idea ni kufungua kampuni na haya niliyouliza ndo tatizo kwangu kikubwa nataka elimu ya faidi za initial capital ndogo na kubwa au shares na uzoefu wowote ambao watu wangependa nijue b4 sijaanza kutekeleza hili.     Dogo nakushauri kwa uzoefu. Kama ndo unaanza biashara achana na mambo ya Limited Company. Fungua Sole Proprietorship au Partnership. Then biashara ikikubali na ukaanza kuajiri watu kwa kuwalipa mshahara kila mwezi ndo uigeuze hiyo entity kuwa Co. Ltd.

    asikudanganye mtu hakuna unregisted company,kwa sababu biashara yote ni lazima upate leseni na ili upate leseni ni lazima uwe mlipa kodi yaani uwe na TIN na ili upate TIN ni lazima uwe na registration iwe limited au vinginevyo.nakushauri fanya ifuatavyo-
    1.nenda kwa wataalamu wakuandalie memorandam au ni PM unitumie emil yako ntakusaidia soft copy ya kwangu wewe uta edit tu.
    2.ukisha sajiliwa brela utaenda TRA kwaajili ya TIN baaba ya hapo utaenda halimashauli ya makao makuu ya kampuni yako watakupa lesseni ya biashara.
    Kumbuka unapokwenda kuchukua TIN waambie ntafungu branchi sehemu fran kisha watakupa branch copy(mfano.makao makuu ya kampuni ni dsm na branch dom,watakupa TIN ya kampuni na watakupa nyingine imeandikwa DODOMA branch copy,lakini namba ilele moja)
    pia kuhusu leseni,kumbuka kampuni itafanya aina mabalimbali za biashara hivyo kila bishara inakua na leseni yake kama ni stationary inakua na sleseni yake,kama ni hardwere inakua na leseni yake
