Jinsi UTT AMIS wanavyofanya kazi

-------------

The Unit Trust of Tanzania (UTT) was incorporated on 19th June, 2003. It has been incorporated under the Trustees Incorporation Act (Cap. 318). To be able to appreciate the objective and functions of the UTT, it is essential in the first place to understand the basic structure of a "Trust". In any trust, there are usually three recognized parties;

The "Settlor" who is the party that settles the Trust (i.e. bestows property on the trust),
The "Trustees" who manage property bestowed by the Settlor; and
The "Beneficiaries" in whose interest property is managed by the Trustees.
Apart from the parties to the trust arrangement, there is also the "property" which is the subject matter of the trust often referred to as the "corpus" of the trust.

The Settlor of the Unit Trust of Tanzania (the "Trust") is the Minister of Finance representing the Government of Tanzania. The Trustees are five individuals appointed by the Minister. The current trustees are; Prof. Joseph Kuzilwa (Chairman of the Board of Trustees), Hon. Janeth Mmari (MP) , Hon. Omari Sheha Mussa (MP) , Mr. Ramadhan S. Hamisi and Mr. Ramadhan Madabida

The Beneficiaries of the UTT are the citizens of Tanzania. The subject matter i.e. property in the UTT consists of shares which have been warehoused under the trust and the rights appertaining to those shares.

The Unit Trust of Tanzania was set up as successor to a previous organization which was known as The Privatisation Trust (PT). The PT had been established by an Act of Parliament in 1997. The objectives of the PT were;

To acquire shares in newly privatized enterprises for sale by public offering to achieve a wide distribution among citizens and to obtain sale proceeds which are reasonable in the circumstances prevailing from time to time.
To encourage and facilitate wider participation by citizens in the ownership of privatized enterprises.

To have responsibility on the disbursement of proceeds in accordance with the Privatisation Act;
To advise the Minister and the Commission on matters relating to the administration of the Act;
To manage and administer the Trust with a view to ensure that its objectives are achieved; and
To ensure that shares are sold or distributed, as the case may be, to any eligible investor.

After its establishment, the PT was entrusted with a portion of shares of Tanzania Breweries Ltd. And Tanzania Cigarette Company Ltd.

These shares were warehoused pending release to the public. Moreover, the PT made preparation for the setting up of collective investment schemes. Furthermore, the Trust conducted public education programmes jointly with the Dar es Salaam Stock Exchange (DSE), Capital Markets and Securities Authority (CMSA) as well as the Parastatal Sector Reform Commission (PSRC).

The Privatisation Trust Act expired on 14th June,2003 and the Unit Trust of Tanzania was registered on 29th June,2003. It is pertinent to mention that the establishment of the Unit Trust of Tanzania was anticipated by the Privatisation Act, 1997 which contained a provision for its succession by a unit trust.

The UTT is therefore a recently established institution which is currently putting in place a foundation for a variety of future activities.

Objectives of the UTT
The objectives of the UTT are;
To acquire and keep in trust the shares of the privatized enterprises that were held by the Privatization Trust and all those shares of the privatized enterprises that will be placed in trust by the Settlor from time to time in the course of the privatization of public enterprises;

To ensure that, shares that are held in trust are distributed among Tanzanians citizens in a manner that will encourage and facilitate savings and wider participation by citizens in the ownership of privatized enterprises that will enable and stimulate participation in capital markets.

To establish, launch and manage collective investment schemes so as to achieve the objectives of the Trust.

These objectives evidently contain an empowerment mandate. Empowerment is indeed a broad concept which may be operationalised by a variety of programmes in different national sectors. The UTT is a financial sector institution and therefore its programmes are to hinge more on development of financial products of empowering Tanzanians to undertake various economic activities.

These may range from the establishment of collective investment schemes to the formulation of various financial support products. In "kick-starting" the activities of the UTT however, attention has been focused the establishment of a collective investment scheme which shall be known as "Umoja Fund".

Vision
To be an efficient investment institution that would facilitate the divestiture process and empower Tanzanians to become effective stakeholders in their country's economic development for improvement of their welfare.

Mission
To hold and manage shares of certain targeted privatized companies in trust for citizen of Tanzania.

To enhance a savings culture among the people of Tanzania.

To facilitate wide ownership of shares of privatized and other enterprises by Tanzanian citizens.

To establish, launch and manage collective investment schemes.

Michango ya wadau

Maoni:

Stay tuned!

ESTABLISHMENT of a community satellite metropolis on the outskirts of Dar es Salaam city is in top gear as the Unit Trust of Tanzania (UTT) has guaranteed to fund installation of its basic facilities, including water, electricity and roads.
Groundwork is underway as all the three contracted companies, one for the supply of electricity, another for water distribution from the main DAWASA pipe and the third for road construction, have made impressive progress in the execution of the first phase of the project during the next few months.

Speaking from the site recently, UTT Senior Architectural Officer, who is also the Project Manager, Godfrey Mwakabole, said title deeds were available for all 246 plots at Mapinga Satellite Community Development. "The satellite community metropolis is 40 kilometres north of Dar es Salaam city centre along Bagamoyo road and the distance from the main road is two kilometres from Kerege," Mwakabole explained.

Clarifying land use and the sizes of plots, the project manager said the surveyed land was for low, medium and high density plots which were designed for residential and commercial purposes. The plan also indicates recreational areas and designated locations for schools and hospitals.

"The location is surrounded by beautiful palm trees and green vegetation. Plots will be sold through a bidding process, but the minimum value established is 25,000/- per square metre for residential purposes and 35,000/ per square metre for commercial plots with a deposit of 1m/- and 5m/-, respectively," Mwakabole explained.

The project manager was accompanied by the Principal Project Management Officer, Mr Shakiru Abdulkarim, who said application forms for those wishing to bid for the plots were available at all postal offices and the deadline was the end of this month (today). "Phase two of the project involves construction of houses, at least 300 units, starting next year.

The structures will comprise bungalows, double-storey housing and apartment complexes all currently at the design stage. Completion of phases one and two is expected within three years," Shakiru explained The plan of the envisaged Mapinga Satellite Community shows areas set aside for service and trade, car park, residential, open spaces, hotels, shopping malls, oxidation pond, police post, cemetery, schools, dispensary, waste water collection facility, petrol station and religious sites.

"UTT is committed to the development of the infrastructure to not only add value to the land, but also put in place the necessary facilities to the comfort of the community. With the planned Bagamoyo port in the proximity (hardly 20 km away), Mapinga Satellite Community remains the ideal place for habitation," Shakiru explained.

Speaking earlier, the Director of the Norman and Dawbarn (T) Limited Mr Chazi Rwakanadi, the architect of the project said the project will be carried at plot 22, and will cover about 18,000 square metres out of which 16,400 will be rented.

The building will comprise a basement and surface parking, shopping malls, banks, office spaces of international standards, conference halls as well as hotels.

The project will take almost 36 months to complete. MIKONO represent a brand name of the company as well as reflection of the core business of the company.

MIKONO is one of the success stories of the companies owned by empowered indigenous people through privatization.

Mkuu anasema UTT inapanga kuwekeza kwenye hisa zenye historia ya kupanda, soko la mzabibu linapanda lini? Wangewekeza kwenye barabara zinazotoza Road Toll, tungewekeza visenti vyetu vya mpaka mwisho maana hizo ndo hisa, sio mzabibu.

I recently saw an article on the Atlantic Cities website talking about how the owners of the Empire State Building were taking the building public in an IPO. In this case, the Empire State Building will not be the only building in the IPO portfolio, but it started me thinking.

What if toll roads (or any other infrastructure asset) were traded like stocks?
Imagine a new class of publicly traded security, somewhere between equity stocks and bonds, that was dedicated to a single infrastructure asset. It would operate something akin to the Real Estate Investment Trusts (REIT), where 90% of the earnings had to be distributed to shareholders and daily operations were handled by a third-party (or potentially related) management company. There would only be one asset per traded entity and shareholders would have a stock-like risk profile (ie. it could all go to zero). You could even set up a NASDAQ like electronic exchange to trade the shares.

It would work best if the State sponsoring the project took the initial development risk (which could be offset by a GMP contract) and then went through the IPO process once construction was complete. A full prospectus would be prepared (like an IPO today), using the traffic and revenue study as the foundation for determining future revenue assumptions (having investors to answer to might improve the quality of these). The IPO would be completed at a set initial share price and proceeds would be used to repay the construction costs incurred by the sponsoring state. Post IPO, the shares would trade in the open market and the share price would rise and fall based upon market conditions and revenue prospects. Each project would file it Q's and K's and investors would use these as the basis for future investments. Share ownership would be open to everyone from Grandma with an E*Trade account to Sovereign Wealth Funds. Quarterly dividends would be paid from earnings.

If a state wanted (or needed) to make a contribution to the project to make it viable, they could do so by buying shares of stock at the IPO – just like everyone else. When those shares appreciated in value they could be sold in the open market and the proceeds used to repay the state contribution.

I see a few interesting things that this concept would accomplish. First, it would allow anyone to invest in infrastructure projects – tapping a large pool of ready capital. There's alot of chatter in the Transportation Finance circles about getting access to new sources of capital, including institutional and pension fund monies. This would accomplish all of that – and more. Plus, if an investor needed to diversify their infrastructure portfolio then they would just buy shares of multiple projects. I can even see a type of mutual fund springing up from this that would handle the diversification for you.

It would also make infrastructure ownership much more liquid. If you decide you don't want to own the road shares anymore, put in a sell order (this assumes an actively traded market with sufficient volumes).

This structure would also make sure that toll revenues stick with the particular project. Those revenues would go to pay shareholder dividends and couldn't be redirected to other projects. An ongoing maintenance reserve account would be maintained to be sure that funds were available for annual maintenance as well as more significant periodic refurbishment.

IPO's wouldn't be limited to greenfield projects. If you had an existing, operating, revenue producing asset that you wanted to monetize you could just as easily do an IPO and "cash out". My guess is established assets would trade better than new builds and generate better P/E ratios therefor higher IPO proceeds.

The best part of this is that it could be established relatively easily. It wouldn't need congressional approval and most of the regulatory policies and procedures would be right inline with the established equity and bond markets.

The downside to this idea is that it would only work for projects that have an identified revenue stream. Of course, those are really the only projects that institutional capital would look at investing in anyway (through this structure or any other). No revenue –> no return on investment –> no interest. If there's no revenue, then general obligation bonds are your best bet secured by general tax revenues.

What are some other downsides to this (or upsides) that I'm missing?

The Unit Trust Tanzania (UTT) plans to extend its investment coverage to the mining and communication industry so as to increase performance and employment of Tanzanians in these sectors, the management has affirmed.

Speaking to this paper in an exclusive interview, the UTT Asset Management and Investor Services chief operating officer Simon Migangala, said they have already established talks with experts who will advise on what to do.

"We have already talked the issue within the management and agreed to find investment experts who will guide us through the whole process," he said.

Migangala said after completion of their proposals they will forward them to the highest decision making body which is the member's annual general meeting for final approval.

According to him, UTT will also recall invested areas to evaluate their performance.
Up to the moment, the Trust is investing in treasury bills and bonds, real estate, financial markets and insurance industry.

It is expected that the Trust's business expansion is also expected to have multiple effects on the country's economic growth as well as socially since the revenue to be generated would be injected to other national development projects.

Explaining further, he said, generally financial performance of the schemes has been exceptionally good and has provided high returns to over 100,000 investors.
The UTT manages five funds namely Umoja, Wekeza Maisha, Watoto, Jikimu and Liquid with 164bn/- being asset under management.

It also has new companies which are UTT asset management and investors services PLC (UTT-AMIS), UTT projects and infrastructure development PLC (UTT-PID) and UTT Microfinance (UTT-MFI).

He said, in summary the growth of Umoja Fund for the last six months was 36 percent, Wekeza Maisha 12 percent, Watoto Fund 27 percent, Jikimu Fund 20 percent and Liquid Fund 0.4 percent.

Migangala said that the positive performance was attributed to registration of new investors in the schemes.

"The outshining of the funds was a result of the increase in the number of investors as well as the growth of the asset value in the period under review," he said.

Also UTT in its Collective Investment Funds offers over three per cent returns on a quarterly basis and a double digit, annually.

The UTT prime objectives include; encouraging savings and investment culture among the citizen through establishment, launch and management of collective investment schemes and other initiatives in the country.

The three organisations namely UTT Asset Management and Investor Services (UTT AMIS), UTT Microfinance (UTT MFI) and UTT Projects and Infrastructure Development (UTT PID) held the first Annual General Meeting (AGM) for the year 2013/14 in Dar es Salaam at the weekend.

UTT-PID was established to unlock the idle capital including financial muscles, land, water bodies, mines, infrastructures like bridges, roads, highways, flyovers.

Some of the projects implemented during the period under review and which were inherited from UTT included Ushirika Mnazi Mmoja Buildings, Bukoba, Sengerema, Lindi and Mapinga city development projects.
